These Terms of Service (the "Terms") govern your use of the website at www.logictarget.online and any of its subdomains, the Logic Target Agency Platform application (App ID 7600593971684835329), and any engagement, agreement, deliverable or correspondence with Logic Target LLC ("Logic Target", "we", "us"). By accessing the website, signing an engagement letter with Logic Target, or using the Logic Target Agency Platform, you ("you", the "Client" or the "Creator", as applicable) agree to be bound by these Terms.
1. Acceptance of these terms
Your access to or use of the website, the Logic Target Agency Platform, or any service provided by Logic Target constitutes your agreement to these Terms and to our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, you must stop using the website and any Logic Target service immediately.
2. Eligibility
The website and our services are intended for adults aged 18 years or older acting in a professional capacity. The Logic Target Agency Platform is not designed for and is not directed at children under the age of 13, and we do not knowingly collect personal information from anyone under 13. If you believe a child has provided us with personal information, please contact privacy@logictarget.online.
3. Services we provide
Logic Target is a US-registered boutique agency offering: (a) creator curation and roster management; (b) content production through our Brass Studio function; (c) creator growth and community management through Moontide Collective; (d) UGC ads testing through Velvet Fox Lab; and (e) a proprietary reporting platform called the Logic Target Agency Platform that aggregates performance data from the TikTok for Business Marketing API for accounts that have explicitly authorized our application.
All services are delivered under a separate written engagement letter that, together with these Terms, constitutes the complete agreement between Logic Target and the Client or Creator. In the event of a conflict between the engagement letter and these Terms, the engagement letter controls.
4. Client obligations
As a Client, you agree to:
- Provide accurate brand assets, brand-safety guidance and approval workflows.
- Comply with all applicable laws and platform rules in your category and jurisdiction, including the Federal Trade Commission Endorsement Guidelines (16 CFR Part 255), the TikTok Branded Content Policy and any disclosure requirements that apply to your category (for example, FDA, FTC, FINRA).
- Not request, and not direct any contracted creator to engage in, any practice prohibited under Section 10 (Prohibited practices) below.
- Pay invoices in accordance with the engagement letter and these Terms.
- Authorize Logic Target to act as your agent only within the scope of the engagement letter.
5. Creator obligations
As a contracted Creator in Logic Target's partner roster, you agree to:
- Deliver contracted content on the agreed schedule.
- Disclose paid partnerships in accordance with the FTC Endorsement Guidelines and the TikTok Branded Content Policy, including the use of TikTok's native Branded Content toggle on every paid post.
- Maintain compliance with the TikTok Community Guidelines on your creator account.
- Not buy followers, likes, comments or other engagement, and not use automation tools, bots, view-farming services or engagement pods on any account used to deliver Logic Target work.
- Not operate any account that impersonates a person or entity, infringes intellectual-property rights, or violates any applicable law.
6. Intellectual property & content licensing
Each engagement letter defines ownership and licensing of the content produced. By default: (a) Logic Target retains ownership of templates, processes, internal tools and pre-existing IP; (b) deliverables produced specifically for a Client are licensed to that Client for the agreed channels and term; (c) Creator-generated content remains owned by the Creator and is licensed to Logic Target and/or the Client on the terms defined in the relevant creator agreement and engagement letter.
The Logic Target name, logo, sub-brand names ("Brass Studio", "Moontide Collective", "Velvet Fox Lab") and all related marks are trademarks of Logic Target LLC. No license to use these marks is granted except as explicitly set out in a written agreement.
7. Confidentiality
Each party agrees to maintain the confidentiality of non-public information disclosed by the other party in connection with the engagement, and to use such information solely for the purpose of performing the engagement. Confidentiality obligations survive termination for three (3) years. A separate non-disclosure agreement may be signed in addition to these Terms and, if so, controls in case of conflict.
8. Payment, cancellation & refunds
Fees are set out in the engagement letter. Default payment terms are Net 15 from invoice date in USD. Late payments accrue interest at 1.5% per month or the maximum permitted by applicable law, whichever is lower. Engagement letters generally contain a 30-day cancellation notice. Fees already invoiced or work already performed at the time of cancellation are non-refundable. Logic Target may suspend services for any account with an invoice that is overdue by more than thirty (30) days.
9. Third-party platform compliance
Logic Target operates on multiple third-party platforms, including TikTok. By engaging Logic Target, the Client and any contracted Creator acknowledge and agree that all activity performed under the engagement must comply with the policies of those platforms, including but not limited to:
- The TikTok Community Guidelines.
- The TikTok for Business Terms of Service.
- The TikTok Marketing API Terms of Service.
- The TikTok Developer Data Use Policy.
- The TikTok Branded Content Policy.
- The Federal Trade Commission Endorsement Guidelines.
If a third-party platform changes its policies in a way that makes a contracted deliverable impermissible, Logic Target will work with the Client or Creator in good faith to identify an alternative deliverable consistent with the engagement intent.
10. Prohibited practices
Logic Target operates strictly within platform rules. You may not, and you may not direct or permit any third party acting on your behalf to, engage in any of the following practices in connection with any Logic Target service or any account operated by Logic Target or any contracted Creator:
- Fake engagement. Purchasing followers, likes, comments, views, shares or any other engagement signal.
- Engagement pods or comment exchanges. Coordinating artificial engagement signals across multiple accounts.
- Bots and automation that violates platform terms. Operating automated systems that post, like, follow, comment or interact in ways prohibited by the relevant platform's terms of service.
- Account farming. Creating, operating, buying, selling, transferring or "aging" multiple accounts for the purpose of artificial distribution.
- Impersonation. Operating any account that impersonates a person or organization without authorization.
- Undisclosed branded content. Posting branded or paid content without the disclosures required by the FTC Endorsement Guidelines and the TikTok Branded Content Policy.
- Synthetic-media misrepresentation. Using AI-generated content to impersonate a real person, or to misrepresent the source or authority of a message.
- Coordinated inauthentic behavior. Coordinating multiple accounts to artificially boost a campaign, narrative or product.
- Illegal content. Promoting illegal products or services, infringing intellectual property, distributing CSAM, or promoting hate, harassment, violence, self-harm, or content that violates applicable law.
- Reverse-engineering or unauthorized data access. Reverse-engineering the Logic Target Agency Platform, attempting to access data outside your authorized scope, or attempting to circumvent platform-level rate limits or access controls.
Violation of this section is a material breach. Logic Target may immediately suspend or terminate any engagement, retain fees already invoiced, and report violations to the relevant platform.
11. Warranties & disclaimers
Each party warrants that it has the authority to enter into the engagement and will perform in compliance with applicable law. The Logic Target Agency Platform and all services are otherwise provided "as is" and "as available", and Logic Target disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Logic Target does not warrant that any service will result in specific follower counts, engagement metrics, conversions, revenue or virality. Outcomes on third-party platforms are subject to factors outside Logic Target's control, including platform algorithms, audience response and policy changes.
12. Limitation of liability
To the maximum extent permitted by applicable law, Logic Target's total aggregate liability arising out of or relating to the engagement and these Terms is limited to the fees paid by the Client to Logic Target during the twelve (12) months immediately preceding the event giving rise to the claim. In no event is Logic Target liable for any indirect, incidental, consequential, special or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
13. Indemnification
Each party will indemnify and hold the other harmless from any third-party claim arising out of (a) its breach of these Terms, (b) its violation of applicable law, or (c) for the Client, the content of any product, service or claim provided by the Client and incorporated into a deliverable; or (d) for a Creator, the content of any post or campaign delivered in breach of platform rules or these Terms.
14. Termination
Either party may terminate the engagement on the notice period set out in the engagement letter (typically 30 days). Logic Target may suspend or terminate access to the website or the Logic Target Agency Platform immediately if you breach these Terms, particularly Section 10 (Prohibited practices). Sections that by their nature should survive termination (Confidentiality, IP, Liability, Indemnification, Governing Law) survive.
15. Governing law & disputes
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for any dispute that is not subject to arbitration. The parties may, by mutual written agreement, refer a dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
16. Changes to these terms
We may update these Terms from time to time. The current version is always available at https://www.logictarget.online/terms.html with the "Last updated" date at the top. For material changes, we will notify active Clients and contracted Creators by email at least fourteen (14) days before the changes take effect.
